End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Yoob AI Ltd ("Company," "we," "us," or "our"), located at Sderot Hayahasut 11, Beer Sheva, Israel, for the use of y0 application and related services ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Software for personal, non-commercial purposes
• Create and interact with AI characters within the Software
• Download and store content generated for you by the Software

This license does not include the right to sublicense, sell, resell, or commercially exploit any aspect of the Software.

3. License Restrictions

You agree NOT to:

• Copy, modify, or distribute the Software or any portion thereof
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Remove, alter, or obscure any proprietary notices or labels
• Use the Software to build a competing product or service
• Use automated systems, bots, or scripts to access the Software
• Circumvent any technological measures designed to control access
• Share your account or access credentials with third parties
• Use the Software in violation of any applicable law or regulation

4. AI-Generated Content

The Software uses artificial intelligence to generate content. You acknowledge and agree that:

• AI-generated content is fictional and for entertainment purposes only
• AI responses do not represent the views or opinions of Yoob AI Ltd
• AI may produce unexpected, inaccurate, or inappropriate content
• You are responsible for your use of AI-generated content
• We do not guarantee the accuracy, quality, or appropriateness of AI outputs

5. User Content

Your Ownership: You retain ownership of content you create and upload to the Software, including custom characters and chat inputs.

License to Us: By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Software.

Content Guidelines: You agree not to create or upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

6. Intellectual Property

The Software, including all code, graphics, user interface, images, audio, video, AI models, and documentation, is the exclusive property of Yoob AI Ltd and is protected by copyright, trademark, and other intellectual property laws.

"y0," the y0 logo, and other Company marks are trademarks of Yoob AI Ltd. You may not use these marks without our prior written consent.

7. Subscription and In-App Purchases

Certain features of the Software require a paid subscription or in-app purchases. By making a purchase, you agree that:

• All purchases are final and non-refundable except as required by law
• Subscriptions automatically renew unless cancelled before the renewal date
• You are responsible for all charges incurred under your account
• Premium features are licensed, not sold, to you
• We may modify pricing or features with reasonable notice

8. Updates and Modifications

We may provide updates, patches, or modifications to the Software. These updates may be automatic and are subject to this EULA. We reserve the right to modify, suspend, or discontinue any feature or the entire Software at any time.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YOOB AI LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Cost of substitute goods or services
• Damages resulting from unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Yoob AI Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Software
• Your violation of this EULA
• Your violation of any third-party right
• Any content you create or submit through the Software

12. Term and Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination:

• All rights granted to you under this EULA cease immediately
• You must cease all use of the Software
• You must delete all copies of the Software in your possession
• Sections 4, 6, 9-14 survive termination

13. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.

Arbitration: Any dispute arising out of or relating to this EULA shall be finally resolved by binding arbitration administered in Tel Aviv, Israel, in accordance with the rules of the Israeli Arbitration Association. The arbitration shall be conducted in English.

Class Action Waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in class action lawsuits.

14. General Provisions

Entire Agreement: This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us.

Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.

Waiver: Failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment: You may not assign this EULA without our prior written consent. We may assign our rights and obligations freely.
